Terms of Use – Fabrizo

1. Acceptance of Terms

By downloading, accessing, or using the Fabrizo mobile application ("App") and related services ("Services"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you must not use the App or the Services.

2. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal authority to enter into these Terms. If you are using the App on behalf of a business or organisation, you represent that you are authorised to bind that entity to these Terms.

3. Account and Registration

• You must provide accurate, current, and complete information when registering or using the App.
• You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• You must notify us immediately at info@fabrizob2b.com if you become aware of any unauthorised access or breach of security.

4. Use of the App and Services

You may use the App and Services only for lawful purposes and in accordance with these Terms and all applicable laws and regulations.

You agree not to: (a) use the App in any way that could disable, overburden, damage, or impair the App or our systems or networks; (b) attempt to gain unauthorised access to any part of the App, other accounts, or our systems; (c) use any automated means (e.g. bots, scrapers) to access the App without our prior written consent; (d) reverse engineer, decompile, or disassemble the App, except to the extent permitted by applicable law; (e) remove or alter any copyright, trademark, or other proprietary notices.

5. Orders, Payments, and Commercial Terms

• Any orders placed through the App are subject to acceptance by Fabrizo and to product or service availability.
• Prices, offers, and payment terms are as displayed in the App or as otherwise communicated to you at the time of the transaction, unless otherwise agreed in writing.
• You are responsible for any applicable taxes, duties, or charges related to your use of the Services or your purchases.

6. Intellectual Property

The App, the Services, and all content, features, and functionality (including but not limited to text, graphics, logos, and software) are owned by Fabrizo or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted only a limited, non-exclusive, non-transferable licence to access and use the App and Services in accordance with these Terms. You do not acquire any ownership or other rights in the App or our intellectual property.

7. Privacy

By using the App, you consent to the collection, use, and disclosure of your information as described in the Privacy Policy.

8. Disclaimers

The App and Services are provided on an "as is" and "as available" basis. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.

To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Fabrizo and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, revenue, or goodwill, arising out of or in connection with your use of the App or the Services.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under the laws of India.

Where applicable law does not allow the above limitations, our liability will be limited to the maximum extent permitted by such law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Fabrizo and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App or the Services; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; or (d) any content or data you submit or transmit through the App.

11. Termination

We may suspend or terminate your access to the App and the Services at any time, with or without cause or notice, including in the event of a breach of these Terms.

You may stop using the App at any time. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

12. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date at the top will reflect the date of the most recent changes. Your continued use of the App after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.

13. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in India, and you consent to the personal jurisdiction of such courts.

14. General

• If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
• Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
• These Terms constitute the entire agreement between you and Fabrizo regarding the App and the Services and supersede any prior agreements or communications.
